We advised the Management Board and the Supervisory Board of the leading Polish IT company on
the implementation of stakeholder governance rules and its implications in the company.
What was the challenge?
The company was advanced in its understanding of the need to shift to stakeholder governance and
what it will mean for its operations. However, the management and supervisory board was not clear
how it will affect the daily workings of these boards and their obligations
and liability towards the company and stakeholders.
How we helped?
We analyzed the legal requirement from the perspective of Polish corporate and employment law.
We recommended possible solutions and specific obligations that can be imposed on the boards. We
also prepared materials for board members explaining their obligations and liabilities under
the new implemented stakeholder governance and suggested improvements to their internal
processes.
