We drafted for B lab the wording of the B Corp legal requirement for Polish capital companies and
partnerships. Companies in Poland are now required to add this specific language to their governing
documents to meet the legal requirement for B Corp certification.
What was the challenge?
Polish companies were obliged to meet the legal requirement imposed by B Lab to be fully
certified as a B Corp and obtain full points for locking their mission in the corporate documents
and embedding stakeholder governance. However, because of its novel nature the B Corp legal
requirement was not yet researched and developed in Poland. This presented challenges to potential
B Corps in Poland.
How we helped?
Acting in a pro bono capacity for B lab we researched the Polish corporate law and developed the
wording of the Polish B Corp legal requirement which is now officially used by B Lab and embedded
by current prospective B Corps in Poland in their legal DNA. Consequently Polish companies in the
process of certification can receive maximum points on the BIA assessment for meeting the B Corp
legal requirement (mission lock).
